SpotsPOS Terms and Conditions

These Terms and Conditions (“Terms”) are a legally binding agreement between SpotsPOS trademark of Repair Spots Inc. (“SpotsPOS,” “Company,” “we,” “our,” or “us”) and the person, business, company, organization, or other legal entity that creates an account, subscribes to, accesses, pays for, or uses the SpotsPOS software, website, mobile application, point-of-sale platform, AI-enabled features, support services, integrations, or related services (collectively, the “Service”).
By creating an account, selecting a subscription plan, submitting payment information, clicking “I agree,” downloading or using the SpotsPOS application, accessing the Service, or allowing any user to access the Service on your behalf, you agree to these Terms. If you are using the Service on behalf of a business or other entity, you represent and warrant that you have authority to bind that entity to these Terms. In that case, “Customer,” “you,” and “your” refer to that entity and its authorized users.
If you do not agree to these Terms, you must not create an account, subscribe, access, or use the Service.
1. Business Use of the Service
SpotsPOS is a software-as-a-service platform designed for business use, including shop management and point-of-sale operations. The Service is intended for use by businesses and their authorized personnel. You agree that the Service is being purchased and used for commercial, business, or professional purposes, unless we expressly agree otherwise in writing.
You are responsible for ensuring that the Service is suitable for your business, your industry, your location, your hardware, your payment-processing setup, your tax obligations, and your operational needs before subscribing.
2. Account Registration and Authority
To use the Service, you must create an account, provide accurate and complete information, select a subscription plan, and submit valid payment information.
You agree that:
SpotsPOS may rely on the account owner, listed administrator, billing contact, or any person reasonably appearing to have authority over the account.
3. Subscription Plans, Billing Authorization, and Recurring Charges
SpotsPOS is provided through subscription plans and may also include paid add-ons, usage-based fees, setup fees, support fees, reactivation fees, hardware-related fees, integration fees, or other charges disclosed to you at or before purchase.
By subscribing, providing payment information, or allowing a payment method to remain on file, you authorize SpotsPOS and its payment processors, including but not limited to PayPal, Apple, Stripe, card networks, banks, or other payment providers, to charge your selected payment method for:
Unless otherwise stated in writing, subscriptions automatically renew on a recurring basis until canceled in accordance with these Terms. You are responsible for reviewing the subscription price, billing frequency, renewal terms, cancellation method, and features included in your selected plan before completing enrollment.
You agree that continued access to or use of the Service after subscription enrollment confirms your acceptance of the subscription and payment obligations.
4. Payment Obligations
You agree to pay all amounts owed under your subscription and any applicable order, invoice, plan, add-on, or service arrangement.
Payment obligations are not contingent on:
All payments must be made in U.S. dollars unless we expressly agree otherwise.
If any payment is declined, reversed, disputed, charged back, returned, or otherwise not received, the related amount remains due and payable unless SpotsPOS confirms in writing that the amount has been waived, credited, or refunded.
5. Taxes
You are responsible for all sales, use, VAT, GST, excise, withholding, and similar taxes, duties, and governmental charges associated with your purchase or use of the Service, excluding taxes based on SpotsPOS’s net income.
If SpotsPOS is required to collect or remit taxes, such taxes may be added to your invoice or charged to your payment method. If you are legally exempt from tax, you must provide valid exemption documentation before the charge is processed.
6. Cancellation
You may cancel your subscription by using the cancellation method made available by SpotsPOS, by contacting SpotsPOS support, or by following any cancellation instructions provided in your account, invoice, receipt, app store, or payment platform.
Cancellation stops future renewal charges after the end of the then-current billing period unless otherwise stated in writing. Cancellation does not automatically entitle you to a refund for amounts already paid, and it does not eliminate amounts already owed, accrued, reversed, charged back, or incurred before the effective cancellation date.
If you subscribed through Apple, PayPal, or another third-party platform, you may also be required to cancel through that third-party platform. SpotsPOS is not responsible for continued charges caused by your failure to complete cancellation through the applicable third-party platform.
You are responsible for keeping proof of cancellation.
7. Refund Policy
Unless required by applicable law or expressly agreed in writing by SpotsPOS, all subscription fees, renewal fees, add-on fees, setup fees, support fees, and other charges are non-refundable once paid.
If you mistakenly select the wrong subscription plan, you must notify SpotsPOS within twenty-four (24) hours after payment. SpotsPOS may, in its discretion, correct the plan, issue an account credit, or issue a refund. After twenty-four (24) hours, SpotsPOS has no obligation to refund amounts paid for mistaken plan selection.
Refunds, credits, discounts, or courtesy adjustments issued in one instance do not create a right to future refunds, credits, discounts, or adjustments.
No refund will be owed because you failed to use the Service, failed to train your staff, failed to maintain compatible hardware, failed to configure the Service correctly, changed your business operations, closed your business, changed providers, or no longer need the Service.
If SpotsPOS suspends your account for nonpayment, chargebacks, fraud risk, misuse, breach of these Terms, or security concerns, you remain responsible for all amounts incurred before suspension. If a charge is processed after your access has been fully suspended and no Service was made available for that billing period, SpotsPOS may refund or credit that charge in its discretion or as required by law.
8. Payment Disputes, Chargebacks, and Bank Claims
If you believe a charge is incorrect, unauthorized, duplicative, or otherwise disputed, you must contact SpotsPOS first at [email protected] within thirty (30) days after the charge date so we can investigate and attempt to resolve the issue.
You agree not to file a chargeback, PayPal claim, bank dispute, card-network dispute, app-store dispute, or payment reversal without first making a good-faith attempt to resolve the issue directly with SpotsPOS, except where prohibited by law.
Filing a chargeback or payment dispute does not cancel your subscription, does not terminate these Terms, and does not automatically eliminate your obligation to pay for Services ordered, accessed, or used.
If you initiate a chargeback, payment dispute, reversal, or claim for a charge that was validly authorized, for Services that were made available, or for Services that were used by you or your authorized users, then, to the fullest extent permitted by law:
If you claim that a Service was “not as described,” “not received,” defective, unsuitable, or otherwise deficient, you must provide SpotsPOS with written notice describing the issue, the affected features, dates, users, and facts supporting the claim, and you must give SpotsPOS a reasonable opportunity to investigate and attempt to resolve the issue. Continued use of the Service after the alleged issue, without timely written notice to SpotsPOS, may be used as evidence that the Service was accepted and used.
You authorize SpotsPOS to submit evidence in response to any payment dispute, including account records, subscription records, invoices, receipts, login history, IP addresses, device information, usage history, support history, communications, screenshots, audit logs, and acceptance of these Terms.
9. Past-Due Amounts, Collections, and Recovery Costs
Any amount not paid when due, including any amount reversed by chargeback or payment dispute, is a past-due balance.
To the fullest extent permitted by law, SpotsPOS may recover from you:
SpotsPOS may refer unpaid business accounts to a commercial collection agency, report unpaid business debts to commercial credit reporting agencies where permitted, file a lawsuit, seek judgment, or pursue other remedies available under law.
You agree that a payment processor’s, bank’s, card issuer’s, app store’s, or platform’s decision in a chargeback or dispute process is not a court judgment, arbitration award, or final legal determination of whether you owe SpotsPOS money.
10. Suspension and Termination
SpotsPOS may suspend, restrict, or terminate your access to the Service immediately, with or without notice, if:
Suspension or termination does not waive SpotsPOS’s right to collect unpaid amounts. You remain responsible for all fees, charges, and obligations incurred before termination or suspension.
SpotsPOS may permanently ban accounts, users, businesses, owners, payment methods, domains, devices, or related entities associated with fraud, abuse, nonpayment, chargeback abuse, repeated disputes, or breach of these Terms.
11. Reactivation After Suspension
SpotsPOS is not required to reactivate a suspended or terminated account.
As a condition of reactivation, SpotsPOS may require:

12. Compatible Devices, Hardware, and Third-Party Services
You are responsible for ensuring that your devices, operating systems, printers, scanners, payment terminals, network connections, hardware, accessories, third-party software, app-store account, payment processor account, and integrations are compatible with the Service.
SpotsPOS is not responsible for the purchase, setup, support, replacement, malfunction, availability, or compatibility of third-party hardware, devices, payment processors, app stores, internet services, operating systems, or integrations unless expressly agreed in writing.
Links, recommendations, tutorials, or references to hardware or third-party services are provided for convenience and do not create a warranty that such items will remain compatible or available.
13. Service Availability and Changes
SpotsPOS will use commercially reasonable efforts to make the Service available, but we do not guarantee uninterrupted, error-free, or continuous availability.
The Service may be unavailable due to maintenance, updates, outages, third-party failures, internet issues, app-store issues, payment processor issues, security events, force majeure events, or circumstances beyond our control.
SpotsPOS may modify, update, improve, remove, replace, suspend, or discontinue features at any time. We are not liable for business losses, lost sales, lost profits, lost data, operational disruption, or other damages resulting from downtime, updates, feature changes, or unavailability.
14. Customer Data and Your Responsibilities
You retain ownership of your business data submitted to the Service, subject to the rights granted to SpotsPOS in these Terms.
You grant SpotsPOS a worldwide, non-exclusive, royalty-free license to host, process, transmit, display, store, back up, analyze, and use Customer Data as necessary to provide, secure, maintain, support, improve, and troubleshoot the Service; comply with law; prevent fraud; enforce these Terms; and respond to support, billing, chargeback, legal, or security matters.
You are responsible for:
You must not submit sensitive personal information, protected health information, government identification numbers, financial account numbers, biometric data, children’s data, or other regulated data unless SpotsPOS expressly supports such data in writing and you have all legally required rights and consents.
15. Privacy and Security
SpotsPOS’s collection and use of personal information is described in our Privacy Policy. By using the Service, you consent to the collection, processing, storage, and use of information as described in these Terms and the Privacy Policy.
SpotsPOS may collect and maintain account activity records, login records, IP addresses, device identifiers, timestamps, usage history, crash logs, support records, billing records, payment records, and audit logs for security, fraud prevention, support, compliance, billing, dispute response, and enforcement purposes.
You acknowledge that no software, network, or hosted service can be guaranteed to be completely secure. You are responsible for using strong passwords, limiting user access, promptly removing former employees, securing your devices, and maintaining appropriate internal controls.
16. AI-Enabled Features
SpotsPOS may include artificial intelligence, machine learning, automation, prediction, recommendation, summarization, classification, data analysis, or similar features (“AI Features”).
AI Features are provided to assist your business operations, but they may generate inaccurate, incomplete, outdated, biased, unexpected, or inappropriate outputs. You are solely responsible for reviewing, verifying, approving, and deciding whether to rely on any AI-generated output.
AI Features do not provide legal, tax, accounting, financial, employment, medical, compliance, or professional advice. You must not rely on AI Features as a substitute for professional judgment, business controls, legal compliance, or human review.
You agree not to submit sensitive, confidential, regulated, or legally restricted data into AI Features unless you are authorized to do so and the applicable feature expressly supports such use.
SpotsPOS may use third-party AI providers or infrastructure to provide AI Features. Your use of AI Features authorizes SpotsPOS and its service providers to process inputs, outputs, and related data as necessary to provide, secure, monitor, improve, and support the AI Features, subject to our Privacy Policy and applicable law.
SpotsPOS does not guarantee that AI outputs will be accurate, available, unique, non-infringing, compliant, or suitable for your intended purpose. You are responsible for all decisions, actions, communications, transactions, and business outcomes based on AI outputs.
17. Acceptable Use
You may use the Service only for lawful business purposes and in accordance with these Terms.
You must not:
SpotsPOS may investigate suspected violations and may suspend or terminate access as needed to protect the Service, SpotsPOS, other users, payment processors, third parties, or the public.
18. Intellectual Property
SpotsPOS and its licensors own all rights, title, and interest in and to the Service, software, application, website, designs, workflows, features, interfaces, documentation, trademarks, trade names, logos, content, technology, know-how, and intellectual property.
Subject to these Terms and your payment of all applicable fees, SpotsPOS grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Service solely for your internal business operations during your active subscription term.
No rights are granted except as expressly stated in these Terms.
19. Feedback
If you submit feedback, suggestions, ideas, bug reports, feature requests, improvements, or recommendations, you grant SpotsPOS a perpetual, worldwide, irrevocable, royalty-free right to use, modify, commercialize, and incorporate such feedback without restriction or compensation.
20. Support
SpotsPOS may provide support through email, chat, help materials, tutorials, documentation, or other channels. Support availability, response times, and scope are not guaranteed unless expressly stated in a separate written agreement.
You are responsible for providing accurate information needed to troubleshoot issues. SpotsPOS is not responsible for delays or inability to resolve issues caused by incomplete information, third-party services, incompatible hardware, user error, network issues, or unsupported configurations.
21. Third-Party Platforms, App Stores, Payment Processors, and Integrations
The Service may depend on or interact with third-party platforms, including Apple, PayPal, payment processors, app stores, hosting providers, AI providers, hardware providers, and integration partners.
You agree that:
SpotsPOS may suspend or limit features that depend on third-party services if those services become unavailable, insecure, noncompliant, unsupported, or commercially impractical.
22. Compliance With Laws
You are responsible for complying with all laws applicable to your business and your use of the Service, including laws relating to taxes, sales, consumer protection, refunds, privacy, data protection, employee monitoring, labor, marketing, payments, receipts, recordkeeping, export controls, sanctions, and industry-specific requirements.
You are responsible for determining whether the Service satisfies legal or regulatory requirements applicable to your business.
SpotsPOS does not provide legal, tax, accounting, employment, financial, or compliance advice.
23. International Users
SpotsPOS is operated from the United States. If you access or use the Service from outside the United States, you are responsible for complying with all local laws that apply to your access and use.
You acknowledge that your information and Customer Data may be transferred to, processed in, and stored in the United States or other countries where SpotsPOS or its service providers operate. Those countries may have data protection laws different from those in your jurisdiction.
You represent that you have all rights, consents, notices, and lawful bases required to transfer data to SpotsPOS and permit SpotsPOS to provide the Service.
SpotsPOS may restrict access to the Service in countries, regions, industries, or circumstances where we determine that providing the Service would create legal, regulatory, security, payment, sanctions, or operational risk.
24. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPOTSPOS DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, ACCURACY, AVAILABILITY, RELIABILITY, SECURITY, COMPATIBILITY, AND ERROR-FREE OPERATION.
SPOTSPOS DOES NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, PRODUCE PARTICULAR BUSINESS RESULTS, PREVENT LOSSES, INCREASE SALES, OPERATE WITHOUT INTERRUPTION, BE COMPATIBLE WITH ALL HARDWARE OR THIRD-PARTY SERVICES, OR BE FREE FROM ERRORS, DEFECTS, OR SECURITY INCIDENTS.
YOU ARE SOLELY RESPONSIBLE FOR VERIFYING TRANSACTIONS, TAXES, PRICES, REPORTS, INVENTORY, CUSTOMER RECORDS, EMPLOYEE ACTIONS, AI OUTPUTS, AND BUSINESS DECISIONS.
25. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPOTSPOS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST SALES, LOST GOODWILL, LOST DATA, BUSINESS INTERRUPTION, COST OF SUBSTITUTE SERVICES, DEVICE FAILURE, PAYMENT PROCESSING ISSUES, TAX ERRORS, EMPLOYEE MISUSE, CUSTOMER DISPUTES, OR THIRD-PARTY CLAIMS, EVEN IF SPOTSPOS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPOTSPOS’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID TO SPOTSPOS FOR THE SERVICE IN THE THREE (3) MONTHS IMMEDIATELY BEFORE THE EVENT GIVING RISE TO THE CLAIM.
The limitations in this section apply regardless of the legal theory, including contract, tort, negligence, strict liability, warranty, statute, or otherwise.
26. Indemnification
You agree to defend, indemnify, and hold harmless SpotsPOS, its owners, officers, employees, contractors, agents, affiliates, vendors, licensors, and service providers from and against all claims, demands, damages, losses, liabilities, penalties, fines, costs, and expenses, including reasonable attorney’s fees, arising out of or related to:
27. Governing Law
These Terms are governed by the laws of the State of Florida, United States, without regard to conflict-of-law principles.
28. Venue and Jurisdiction
You agree that any dispute, claim, lawsuit, collection action, or legal proceeding arising out of or relating to these Terms, the Service, unpaid amounts, chargebacks, or your account may be brought in the state or federal courts located in Florida, and you consent to personal jurisdiction and venue in those courts.
If your business address is in Florida, or if you accessed, subscribed to, or used the Service from Florida, you agree that Florida is a proper and convenient forum.
29. Attorney’s Fees and Costs
In any dispute, collection action, arbitration, lawsuit, chargeback-related proceeding, or enforcement action arising out of or relating to these Terms, the Service, unpaid amounts, or your account, the prevailing party will be entitled to recover reasonable attorney’s fees, court costs, arbitration costs, collection costs, and other reasonable enforcement expenses to the fullest extent permitted by law.
30. Equitable Relief
You agree that unauthorized use of the Service, misuse of SpotsPOS intellectual property, security violations, unauthorized access, or breach of confidentiality may cause irreparable harm for which monetary damages may be inadequate. SpotsPOS may seek injunctive or equitable relief without posting bond or proving actual damages.
31. Force Majeure
SpotsPOS is not liable for delay, failure, outage, or inability to perform caused by events beyond its reasonable control, including acts of God, natural disasters, labor disputes, internet failures, hosting failures, cyberattacks, malware, payment processor outages, app-store issues, government actions, war, terrorism, civil unrest, supply-chain issues, utility failures, or third-party service failures.
32. Changes to These Terms
SpotsPOS may update these Terms from time to time. The updated Terms will be posted on our website or made available through the Service. The “Last Updated” date will indicate when the Terms were last revised.
Your continued access to or use of the Service after updated Terms are posted or made available constitutes acceptance of the updated Terms.
If a change materially affects your rights or obligations, SpotsPOS may provide additional notice where required by law.
33. Entire Agreement
These Terms, together with any applicable subscription plan, order form, invoice, Privacy Policy, Data Processing Addendum, written addendum, or additional terms incorporated by reference, constitute the entire agreement between you and SpotsPOS regarding the Service and supersede all prior or contemporaneous agreements, understandings, statements, or representations.
34. No Waiver
SpotsPOS’s failure to enforce any provision of these Terms is not a waiver of that provision or any other provision. Any waiver must be in writing and signed by SpotsPOS.
35. Severability
If any provision of these Terms is found unenforceable, unlawful, or invalid, the remaining provisions will remain in full force and effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.
36. Assignment
You may not assign, transfer, delegate, or sublicense your rights or obligations under these Terms without SpotsPOS’s prior written consent. SpotsPOS may assign or transfer these Terms in connection with a merger, acquisition, reorganization, sale of assets, financing, change of control, or by operation of law.
37. Notices
SpotsPOS may provide notices by email, in-app message, account notice, website posting, invoice message, or other reasonable method.
You are responsible for keeping your contact information current. Notices sent to the email address or account contact on file will be considered received when sent.
